1) Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Priseria website, products, and services (“Services”). By visiting our site or purchasing from our store, you agree to these Terms and our Privacy Policy.

2) Eligibility & Accounts

  • You must be at least the age of majority in your state or province to use the Services.

  • You’re responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

  • We may refuse service, close accounts, or cancel orders at our discretion.

3) Orders & Payment

  • All orders are subject to acceptance, availability, and fraud review.

  • Prices, taxes, shipping, and fees are shown at checkout. You authorize our payment processors to charge your selected payment method.

  • We do not store full payment card details; processing is handled by third-party providers.

4) Shipping, Risk of Loss & Delivery

  • Title and risk of loss pass to you when we hand the package to the carrier.

  • Delivery dates are estimates and not guaranteed. We are not responsible for delays, incorrect addresses entered at checkout, or packages marked “delivered” by the carrier.

5) All Sales Are Final (No Returns / No Refunds)

We do not accept returns, exchanges, or refunds under any circumstances. Please review your cart carefully before checkout.

6) Product Information & Availability

  • We strive for accurate descriptions and images. Minor variations in color or appearance may occur due to display settings or manufacturing and do not constitute defects.

  • We may correct errors, update information, or change product details at any time without prior notice, including after you place an order.

7) Pricing, Promotions & Gift Cards

  • Prices may change at any time.

  • Promotions are subject to specific terms and may not be combined unless stated.

  • Gift cards/store credit (if offered) are not redeemable for cash except where required by law.

8) Prohibited Uses

You agree not to use the Services to:

  • Violate any law or regulation;

  • Infringe intellectual property or privacy rights;

  • Upload malware or harmful code;

  • Collect data about others without consent;

  • Interfere with or bypass security features;

  • Scrape, crawl, or harvest data without prior written permission.

9) Intellectual Property

All site content (text, graphics, logos, images, product names) is owned by or licensed to Priseria and protected by law. You may not use our trademarks or content without written permission.

10) User Content & Reviews

If you submit reviews, photos, or other content (“User Content”), you grant Priseria a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, translate, display, and distribute the User Content in connection with the Services and our marketing. You represent you have all rights necessary to grant this license.

11) Third-Party Services & Links

Our store is hosted on third-party platforms (e.g., Shopify) and may link to third-party sites. We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.

12) Disclaimer of Warranties

The Services and all products are provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

13) Limitation of Liability

To the fullest extent permitted by law, Priseria, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; or lost profits, revenues, data, or goodwill, arising from or related to your use of the Services or any products purchased. Our total liability for any claim will not exceed the amount you paid to us for the product at issue.

14) Indemnification

You agree to indemnify and hold harmless Priseria and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, misuse of the Services, or violation of any law or third-party rights.

15) Dispute Resolution & Arbitration; Class-Action Waiver

Please read this section carefully. It affects your legal rights.

a. Informal Resolution. Before filing a claim, you agree to email us at priseria.official@gmail.com with your name, order number, and a description of the dispute, and allow 30 days for an informal resolution.

b. Binding Arbitration. If we can’t resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and conducted in English. Either party may attend remotely. The arbitrator may award individual relief permitted by law.

c. Class-Action & Jury Trial Waiver. You and Priseria agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You waive the right to a jury trial.

d. Small-Claims Exception. Either party may bring an individual action in small-claims court in the county of your residence or Middlesex County, New Jersey, if the claim qualifies.

e. Opt-Out. You can opt out of arbitration by sending a written notice to priseria.official@gmail.com within 30 days of your first purchase after this Effective Date. Your notice must include your name, billing address, and a clear statement that you wish to opt out of arbitration.

f. Severability. If the class-action waiver is found unenforceable, this entire Section 15 will be unenforceable. If any other part of this Section is unenforceable, the remainder stays in effect.

16) Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles. Where applicable consumer laws grant you mandatory rights, nothing in these Terms limits those rights.

17) Suspension & Termination

We may suspend or terminate access to the Services at any time, with or without notice, if we believe you’ve violated these Terms. Sections intended to survive (including IP, disclaimers, limitations of liability, indemnity, and dispute resolution) will survive termination.

18) Changes to the Services & to These Terms

We may modify or discontinue the Services, and we may update these Terms from time to time. The updated version will be posted with a new effective date. Your continued use after changes means you accept the updated Terms.

19) Miscellaneous

  • Severability: If any provision is held invalid, the remaining provisions remain in effect.

  • Assignment: You may not assign these Terms without our written consent; we may assign them at any time.

  • Force Majeure: We aren’t liable for delays or failures caused by events beyond our reasonable control.

  • Entire Agreement: These Terms, together with our Privacy Policy and any order confirmations, constitute the entire agreement between you and Priseria.
